These Terms of Use (these “Terms”) govern access to and use of the websites, web applications, mobile applications, portals, dashboards, communications, content, tools, technology, and related services provided by SPEEDY STAFFERS LLC, a California limited liability company, California entity number B20260174722 (“Speedy Staffers,” “Speedy,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, submitting information, clicking to accept these Terms, downloading or using a mobile application, communicating through the Platform, or otherwise using any part of the Services, you agree to these Terms.
Do not use the Services if you do not agree to these Terms.
1. Definitions
1.1 “Account”
“Account” means a user account, login, profile, administrator account, professional account, customer account, or other access credential used to access the Services.
1.2 “Customer”
“Customer” means a healthcare provider, home health agency, hospice agency, clinic, skilled nursing facility, hospital, healthcare organization, business associate, administrative services organization, facility, agency, company, or other entity that uses the Services to request, coordinate, schedule, manage, verify, or pay for
staffing, workforce, case, visit, shift, credentialing, documentation, or related services.
1.3 “Customer User”
“Customer User” means any employee, contractor, representative, administrator, scheduler, billing user, compliance user, clinician, or other person accessing the Services on behalf of a Customer.
1.4 “Platform”
“Platform” means Speedy Staffers’ websites, mobile applications, web applications, portals, APIs, dashboards, communication tools, messaging tools, scheduling tools, credentialing tools, documentation exchange tools, visit verification tools, billing-support tools, reporting tools, support systems, audit logs, and related technology systems.
1.5 “Professional”
“Professional” means any nurse, licensed vocational nurse, licensed practical nurse, registered nurse, certified nursing assistant, home health aide, caregiver, therapist, therapy assistant, clinician, healthcare
professional, contractor, independent contractor, employee, applicant, marketplace user, or other person who accesses the Services to seek, accept, manage, perform, document, or receive payment for staffing, visit, shift, case, care coordination, or related opportunities.
1.6 “Services”
“Services” means the Platform and all related products, services, workflows, content, features, communications, support, credentialing support, staffing coordination, visit verification, billing support, documentation exchange, and administrative services provided by Speedy Staffers.
1.7 “User”
“User,” “you,” or “your” means any person or entity that accesses or uses the Services, including website visitors, Customers, Customer Users, Professionals, applicants, support users, and other users.
2. Relationship to Other Agreements
2.1 Customer Agreements
If you are a Customer or Customer User, your access to and use of the Services may also be governed by a Customer Marketplace Access Agreement, Order Form, Rate Sheet, Business Associate Agreement, Data Processing Addendum, Security Addendum, Acceptable Use Policy, or other written agreement between Speedy Staffers and the Customer.
If these Terms conflict with a signed agreement between Speedy Staffers and a Customer, the signed agreement controls to the extent of the conflict.
The liability limits in these Terms apply only to website visitors, unauthenticated users, and users without a separate signed or accepted Customer, Professional, Order Form, or other governing agreement. Signed or accepted Customer agreements, Professional agreements, Order Forms, BAAs, and addenda control for their covered users and workflows.
2.2 Professional Agreements
If you are a Professional, your access to and use of the Services may also be governed by a Professional Marketplace Agreement, Professional HIPAA / Confidentiality Addendum, background check authorization, credentialing attestation, location tracking consent, payment terms, or other professional-facing agreement.
If these Terms conflict with a signed or accepted Professional Marketplace Agreement, the Professional Marketplace Agreement controls to the extent of the conflict.
2.3 BAA Controls PHI
If Speedy Staffers processes Protected Health Information as a Business Associate for or on behalf of a covered entity or upstream business associate, the applicable Business Associate Agreement controls Speedy Staffers’ obligations regarding such PHI.
2.4 Privacy Policy
Speedy Staffers’ Privacy Policy explains how we collect, use, disclose, retain, and otherwise process personal information.
By using the Services, you acknowledge the Privacy Policy.
3. Eligibility
You may use the Services only if you:
- (a) are at least 18 years old;
- (b) can form a legally binding contract;
- (c) are not prohibited from using the Services under applicable law;
- (d) provide accurate and complete information;
- (e) comply with these Terms and all applicable policies; and
- (f) use the Services only for lawful purposes. If you use the Services on behalf of an entity, you represent and warrant that you are authorized to bind that entity.
4. Account Registration and Security
4.1 Account Creation
You may be required to create an Account to access certain Services. You agree to provide accurate, current, and complete information and to promptly update information as necessary.
4.2 Account Responsibility
You are responsible for all activity that occurs under your Account.
You must:
- (a) keep login credentials confidential;
- (b) not share your Account;
- (c) not allow unauthorized persons to use your Account;
- (d) use strong passwords;
- (e) use multi-factor authentication where available or required;
- (f) promptly update inaccurate information;
- (g) promptly notify Speedy Staffers of suspected unauthorized access or credential compromise; and
- (h) comply with all access, security, and user-management requirements.
4.3 Account Suspension
Speedy Staffers may suspend, restrict, or terminate your Account if we believe that:
- (a) you violated these Terms;
- (b) you violated another agreement with Speedy Staffers;
- (c) your Account is compromised;
- (d) your use creates a legal, security, privacy, operational, patient-safety, or reputational risk;
- (e) you provided inaccurate, false, misleading, or incomplete information;
- (f) you failed to pay amounts owed;
- (g) you violated law;
- (h) you engaged in misconduct; or
- (i) suspension is necessary to protect Speedy Staffers, Customers, Professionals, patients, users, or third parties.
5. Services Overview
Speedy Staffers may provide technology, marketplace access, staffing coordination, credentialing support, case posting, visit posting, shift posting, scheduling, documentation exchange, in-app messaging, email, SMS, push notifications, support, visit verification, billing support, payment support, reporting, and related administrative services.
The Services may allow Customers to request staffing, post cases or visits, review Professional profiles, communicate with Professionals, verify services, exchange documentation, and manage billing-related workflows.
The Services may allow Professionals to create profiles, submit credentials, complete onboarding, view opportunities, accept or decline assignments, communicate with Customers, complete visits or shifts, submit documentation, verify attendance, and receive payment-related support.
6. No Medical Advice or Medical Services
Speedy Staffers does not provide medical advice, medical diagnosis, medical treatment, clinical decision- making, care-plan development, utilization review, medical necessity determinations, or professional healthcare services through these Terms.
Customers remain responsible for patient care, clinical judgment, patient safety, supervision, care plans, medical necessity, patient consents, licensure compliance, facility operations, and compliance with healthcare laws.
Professionals remain responsible for performing services within the scope of their license, certification, training, competence, and applicable law.
The Services are administrative, technology, coordination, marketplace, documentation, verification, communication, and support tools unless a separate written agreement expressly states otherwise.
7. Professional Status
Unless Speedy Staffers expressly hires a Professional as an employee through a separate written employment agreement signed by Speedy Staffers, Speedy Staffers intends the Professional’s relationship with Speedy Staffers to be that of an independent contractor to the extent permitted by applicable law.
These Terms do not waive rights that cannot be waived under applicable law and do not prevent a classification challenge from being resolved on the merits.
A Professional’s relationship with Speedy Staffers, a Customer, or another entity may be governed by separate agreements, applicable law, and the facts of the engagement.
8. Customer Responsibilities
Customers and Customer Users are responsible for:
- (a) ensuring authority to use the Services;
- (b) managing Customer Users;
- (c) safeguarding credentials;
- (d) submitting accurate and lawful staffing, case, visit, and shift information;
- (e) providing accurate addresses, scheduling information, patient access information, and service requirements;
- (f) independently verifying Professional qualifications, credentials, licenses, certifications, background, training, competence, and suitability;
- (g) patient care and clinical supervision;
- (h) site-specific orientation and instructions;
- (i) facility policies and safety rules;
- (j) patient consents and authorizations;
- (k) HIPAA and privacy obligations;
- (l) limiting PHI and personal information to the minimum necessary;
- (m) using supported workflows for sensitive information;
- (n) paying all amounts owed;
- (o) timely verifying services;
- (p) promptly reporting incidents; and
- (q) complying with all applicable laws and agreements.
9. Professional Responsibilities
Professionals are responsible for:
- (a) providing accurate profile, credential, license, certification, identity, payment, tax, and background check information;
- (b) keeping credentials current;
- (c) promptly notifying Speedy Staffers of changes to licensure, certification, eligibility, disciplinary status, criminal history, insurance, availability, or other relevant information;
- (d) accepting only assignments they are legally and professionally qualified to perform;
- (e) performing services safely, professionally, and lawfully;
- (f) complying with Customer instructions, care plans, facility policies, safety rules, documentation requirements, and applicable law;
- (g) protecting patient information, PHI, personal information, and confidential information;
- (h) using the Platform as intended;
- (i) not sharing login credentials;
- (j) not falsifying records;
- (k) not accepting assignments under another person’s identity;
- (l) promptly reporting incidents, safety concerns, privacy issues, and security concerns;
- (m) complying with tax and payment obligations; and
- (n) complying with all applicable agreements and policies.
10. Acceptable Use
You may use the Services only for lawful purposes and in accordance with these Terms.
You shall not:
- (a) violate law;
- (b) violate healthcare, privacy, employment, labor, tax, licensing, credentialing, or professional requirements;
- (c) submit false, misleading, incomplete, outdated, or fraudulent information;
- (d) impersonate another person or entity;
- (e) misrepresent authority;
- (f) access or attempt to access systems, accounts, data, or networks without authorization;
- (g) interfere with Platform security or operation;
- (h) introduce malware, viruses, ransomware, spyware, harmful code, or malicious content;
- (i) scrape, crawl, copy, reverse engineer, decompile, disassemble, or exploit the Platform;
- (j) use the Services to develop or train a competing product or service;
- (k) bypass fees, workflows, documentation requirements, payment processes, or compliance controls;
- (l) harass, threaten, abuse, defame, discriminate, retaliate, exploit, or harm another person;
- (m) submit unlawful, obscene, explicit, abusive, discriminatory, defamatory, or inappropriate content;
- (n) share login credentials;
- (o) use another person’s Account;
- (p) submit PHI or sensitive information through unsupported workflows;
- (q) place PHI in email subject lines, SMS messages, push notification previews, support ticket titles, invoice descriptions, or unsupported fields unless legally authorized and supported;
- (r) upload irrelevant, excessive, or unauthorized information;
- (s) interfere with another user’s use of the Services;
- (t) violate any Speedy Staffers policy; or
- (u) use the Services in a manner that creates unreasonable legal, security, privacy, operational, patient- safety, or reputational risk.
11. PHI and Sensitive Information
You must not submit PHI or sensitive information to Speedy Staffers except through supported workflows and where legally authorized.
Customers are responsible for ensuring that PHI submitted through the Services is legally authorized, minimum necessary, accurate, and appropriate for the applicable staffing, scheduling, credentialing, documentation, visit verification, billing, payment, audit, support, or administrative purpose.
Users must not include PHI in unsupported fields, exposed message previews, email subject lines, SMS messages, push notification previews, invoice descriptions, support ticket titles, or other locations not intended for PHI unless legally authorized and supported by the Platform.
If Speedy Staffers acts as a Business Associate, PHI is governed by the applicable Business Associate Agreement.
12. Communications
By using the Services, you agree that Speedy Staffers may communicate with you through email, SMS/text message, telephone, push notification, in-app message, mail, or other communication methods.
Communications may include:
- (a) account messages;
- (b) verification codes;
- (c) onboarding communications;
- (d) credentialing reminders;
- (e) assignment notices;
- (f) scheduling updates;
- (g) visit reminders;
- (h) operational alerts;
- (i) support messages;
- (j) billing and payment communications;
- (k) security notices;
- (l) legal notices;
- (m) marketing messages where permitted; and
- (n) other service-related communications. You may opt out of marketing communications as described in the Privacy Policy or the applicable message. Operational and transactional communications may still be sent where permitted by law.
13. SMS Terms
By providing a phone number and using the Services, you consent to receive SMS/text messages from Speedy Staffers and its service providers for operational, transactional, account, authentication, scheduling, assignment, credentialing, visit, billing, payment, and support purposes.
Marketing SMS/text messages, autodialed marketing calls, and prerecorded marketing calls require separate consent where required by law. Consent to marketing communications is not required to use the Services or as a condition of any purchase.
Message frequency varies.
Message and data rates may apply.
Reply STOP to opt out of marketing texts where supported. Reply HELP for help where supported.
Opting out of operational messages may affect your ability to use certain Services.
Speedy Staffers does not guarantee availability or delivery of SMS messages. SMS communications may be affected by carriers, networks, devices, and user settings outside Speedy Staffers’ control.
14. Location-Based Services
Certain Services may collect or use location information, including approximate or precise location, to support:
- (a) visit verification;
- (b) shift verification;
- (c) check-in/check-out;
- (d) attendance confirmation;
- (e) assignment discovery;
- (f) routing or arrival estimates;
- (g) payment support;
- (h) fraud prevention;
- (i) safety;
- (j) compliance;
- (k) audit support; and
- (l) dispute resolution. You may control location permissions through your device settings. Disabling location permissions may limit or prevent use of certain Services. You must not spoof, manipulate, falsify, disable, or interfere with location, visit verification, check-in/check- out, or attendance features.
15. User Content
15.1 User Content
“User Content” means information, documents, messages, files, images, feedback, reviews, ratings, notes, credentials, profile information, case information, visit information, scheduling information, or other content submitted through the Services by users.
15.2 Responsibility
You are responsible for your User Content and represent that you have all rights, permissions, consents, and authority necessary to submit it.
You must ensure that User Content is accurate, lawful, appropriate, and not misleading.
15.3 License to Speedy Staffers
You grant Speedy Staffers a non-exclusive, worldwide, royalty-free license to use, host, copy, process, transmit, display, disclose, store, modify, and create derivative works from User Content as necessary or appropriate to provide, secure, support, improve, administer, bill, analyze, maintain, and document the Services; comply with law; enforce agreements; prevent fraud or misuse; and protect Speedy Staffers, users,
Customers, Professionals, patients, and third parties.
15.4 Removal
Speedy Staffers may remove, restrict, quarantine, preserve, or disable access to User Content if Speedy Staffers believes it violates these Terms, another agreement, law, privacy/security requirements, third-party rights, or Platform integrity.
16. Intellectual Property
The Services, Platform, software, technology, workflows, designs, interfaces, documentation, templates, content, trademarks, service marks, logos, trade names, data models, algorithms, processes, and related intellectual property are owned by Speedy Staffers or its licensors.
These Terms grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your authorized purposes during the term of your access.
No rights are granted except as expressly stated in these Terms.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services except as expressly permitted by Speedy Staffers in writing.
17. Feedback
If you provide suggestions, ideas, enhancement requests, recommendations, feedback, comments, or other input about the Services, Speedy Staffers may use that feedback without restriction or obligation to you.
You assign to Speedy Staffers all rights in such feedback to the maximum extent permitted by law.
18. Third-Party Services
The Services may depend on, link to, integrate with, or allow access to third-party services, including hosting providers, cloud infrastructure, payment processors, SMS providers, email providers, push
notification providers, app stores, EMR/EHR systems, billing systems, credentialing systems, background check providers, analytics tools, support tools, and other vendors.
Speedy Staffers is not responsible for third-party services not controlled by Speedy Staffers, including their availability, security, privacy practices, content, terms, errors, outages, or acts or omissions.
Your use of third-party services may be governed by third-party terms and privacy policies.
19. Payments
If you owe fees or charges to Speedy Staffers, you agree to pay all amounts when due.
Payment terms may be set forth in an Order Form, Rate Sheet, Professional Agreement, invoice, payout
terms, or other applicable agreement.
For completed visits that require Customer verification, the applicable workflow may provide a limited review window. If a Customer does not verify or reject a completed visit within the stated review period, the visit may be automatically approved and the payment method on file may be charged as permitted by the applicable agreement.
You authorize Speedy Staffers and its payment processors to process payments, payouts, refunds, fees, charges, taxes, and related transactions as permitted by the applicable agreement.
You must not submit PHI or unnecessary sensitive information into payment fields, payment memos, invoice descriptions, or billing notes.
20. Taxes
Professionals and Customers are responsible for their own tax obligations unless a separate written agreement states otherwise.
Professionals who are classified as independent contractors are responsible for applicable taxes, withholdings, filings, insurance, licenses, permits, and expenses associated with their work, unless otherwise required by law or agreement.
Speedy Staffers may collect tax information, issue tax forms, or report payments as required by law.
21. Background Checks and Credentialing
Speedy Staffers may require Professionals to complete identity verification, background checks, exclusion screening, credential verification, license verification, certification review, training review, or other onboarding requirements.
Authorization, disclosure, and consent forms may be required before background checks or screening are performed.
Speedy Staffers may suspend, restrict, or terminate access based on credentialing, screening, licensing, compliance, safety, or eligibility concerns.
Customers remain responsible for independently determining whether a Professional is appropriate, qualified, credentialed, licensed, competent, and suitable for the requested services and setting.
22. Ratings, Reviews, and Feedback
The Services may allow Customers, Professionals, or other users to provide ratings, reviews, comments, incident reports, attendance information, or feedback.
You agree that feedback must be accurate, honest, lawful, professional, and not defamatory, discriminatory, retaliatory, abusive, or misleading.
Speedy Staffers may use, display, moderate, remove, or restrict feedback as permitted by law and applicable agreements.
23. Availability and Changes
Speedy Staffers may modify, update, suspend, discontinue, replace, or remove Services, features, content, workflows, or integrations from time to time.
Speedy Staffers does not guarantee uninterrupted, error-free, secure, or delay-free access to the Services.
The Services may be unavailable due to maintenance, updates, outages, third-party disruptions, security events, internet failures, hosting issues, force majeure events, or other circumstances.
24. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEEDY STAFFERS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION.
SPEEDY STAFFERS DOES NOT WARRANT THAT:
- (a) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- (b) THE SERVICES WILL MEET YOUR REQUIREMENTS;
- (c) STAFFING NEEDS WILL BE FILLED;
- (d) PROFESSIONALS WILL ACCEPT OR COMPLETE ASSIGNMENTS;
- (e) CUSTOMERS WILL OFFER WORK;
- (f) INFORMATION SUBMITTED BY USERS IS ACCURATE;
- (g) THIRD-PARTY SERVICES WILL BE AVAILABLE OR SECURE; OR
- (h) ALL ERRORS WILL BE CORRECTED.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEEDY STAFFERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, PUNITIVE, COVER, BUSINESS INTERRUPTION, LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA VALUE, LOSS OF BUSINESS OPPORTUNITY, REPUTATIONAL HARM, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT, STATUTE, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEEDY STAFFERS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- (a) THE AMOUNTS PAID BY YOU TO SPEEDY STAFFERS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY; OR
- (b) ONE HUNDRED DOLLARS ($100). This limitation does not limit liability that cannot be limited under applicable law and applies only to users without a separate signed or accepted governing agreement. If you are a Customer, Customer User, or Professional with a separate signed or accepted agreement, the liability limitation and carveouts in that agreement control to the extent applicable.
26. Indemnification
You agree to defend, indemnify, and hold harmless Speedy Staffers and its members, managers, officers,
directors, employees, contractors, agents, representatives, affiliates, successors, and assigns from and against any claims, demands, losses, damages, liabilities, penalties, fines, settlements, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- (a) your use of the Services;
- (b) your User Content;
- (c) your breach of these Terms;
- (d) your violation of law;
- (e) your violation of another person’s rights;
- (f) your negligence, recklessness, willful misconduct, fraud, or intentional misconduct;
- (g) your unauthorized access, use, or disclosure of information;
- (h) your misuse of PHI, personal information, confidential information, or sensitive information;
- (i) your employment, contractor, tax, credentialing, licensure, patient-care, or professional obligations;
- (j) your communications with other users;
- (k) your disputes with Customers, Professionals, patients, or third parties; or
- (l) your use of third-party services.
27. Disputes; Arbitration
27.1 Informal Resolution
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting legal@speedystaffers.com, except for claims involving emergency relief, intellectual property, confidentiality, privacy/security emergencies, nonpayment, or claims that may be brought in small claims court.
27.2 Binding Arbitration
Except for claims that may be brought in small claims court or claims for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules or Consumer Arbitration Rules, as applicable.
The arbitration shall take place in Los Angeles County, California, unless applicable law requires otherwise.
27.3 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SPEEDY STAFFERS AGREE THAT DISPUTES SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR CONSOLIDATED ACTION.
To the extent a California Private Attorneys General Act claim is asserted by a person who is legally permitted to assert such a claim and a waiver would be prohibited by California law, the waiver in this Section shall be enforced only to the maximum extent permitted by law and shall not waive representative PAGA claims that cannot legally be waived.
27.4 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SPEEDY STAFFERS WAIVE ANY RIGHT TO A JURY TRIAL.
27.5 Injunctive Relief
Speedy Staffers may seek injunctive or equitable relief in court to protect intellectual property, confidential information, privacy, security, Platform integrity, users, patients, or third parties.
28. Termination
You may stop using the Services at any time.
Speedy Staffers may suspend, restrict, or terminate your access to the Services at any time if Speedy Staffers believes that:
- (a) you violated these Terms;
- (b) you violated another agreement;
- (c) your Account is compromised;
- (d) you create legal, privacy, security, operational, patient-safety, or reputational risk;
- (e) you failed to pay amounts owed;
- (f) you provided inaccurate or misleading information;
- (g) you engaged in misconduct;
- (h) you violated law; or
- (i) termination is necessary to protect Speedy Staffers, users, Customers, Professionals, patients, or third parties. Sections that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, payment obligations, and data retention rights.
29. Changes to These Terms
Speedy Staffers may update these Terms from time to time.
When we update these Terms, we will update the effective date above and may provide notice where required by law or where we determine appropriate.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the maximum extent permitted by law.
30. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except to the extent preempted by federal law.
31. Assignment
You may not assign or transfer these Terms without Speedy Staffers’ prior written consent.
Speedy Staffers may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, transfer to an affiliate, or by operation of law.
32. Force Majeure
Speedy Staffers is not liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, labor disputes, internet failures, utility failures, hosting outages, cyberattacks, acts of war, terrorism, riots, epidemics, pandemics, government actions, changes in law, supply chain disruptions, or third-party service failures.
33. Severability
If any provision of these Terms is invalid, illegal, or unenforceable, the remaining provisions remain in effect, and the invalid provision will be modified to best accomplish the original intent to the maximum extent permitted by law.
34. No Waiver
A waiver of any provision of these Terms is effective only if in writing and signed by Speedy Staffers.
Failure to enforce any provision is not a waiver.
35. No Third-Party Beneficiaries
These Terms do not create third-party beneficiary rights except where expressly stated.
36. Entire Agreement
These Terms, together with any applicable policies or agreements incorporated by reference, constitute the entire agreement between you and Speedy Staffers regarding your use of the Services, unless you have a separate signed agreement with Speedy Staffers.
